DOJ Investigates Andreessen Horowitz Over Board Conflicts

The U.S. Department of Justice has initiated an investigation into Andreessen Horowitz, focusing on potential conflicts of interest involving the firm's partners on the boards of rival companies. This inquiry has been ongoing for nearly a year and centers on board positions at Databricks and Fivetran, two companies that are now competitors.

Ben Horowitz, co-founder of Andreessen Horowitz, is on the board of Databricks, while fellow partner Martin Casado holds a position at Fivetran. Despite their current rivalry, some venture capitalists note that the two companies were not direct competitors at the time a16z made its investments.

According to reports, the investigation is grounded in Section 8 of the Clayton Act, which prohibits individuals from serving on the boards of competing firms. This scrutiny is particularly noteworthy, as similar regulatory actions against venture capital firms are rare.

Industry insiders express concern that if Andreessen Horowitz is compelled to relinquish a board seat, it could diminish the desirability of board commitments from leading venture capitalists. Such a precedent may lead founders to reconsider the value of board affiliations, especially if future conflicts arise.

Andreessen Horowitz has not yet commented on the investigation, nor have Databricks or the DOJ provided any statements.
